Terms of Service

These terms are the agreement between you and Nativerse Ventures Ltd for the use of mcpgawk and the mcpgawk Platform subscription. Please read them before you subscribe.

1. The agreement

These Terms of Service (the "Terms") govern your access to and use of the mcpgawk software, including the free mcpgawk scanner, the mcpgawk Platform subscription and its pillars (enforce and monitor), the command-line tools, the editor extensions, the associated websites at gawk.dev and mcp.gawk.dev, and any related documentation and services (together, the "Service"). By subscribing, installing, activating a licence key, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" means that organisation.

If you do not agree to these Terms, do not use the Service.

2. Definitions

"Software" means the mcpgawk command-line tools, the mcpgawk Platform tools and their capabilities, the editor extensions, and any updates we make available. "Free Scanner" means the open-source mcpgawk tools distributed under the Apache-2.0 licence, including scanning, sandboxed verification, the runtime guard, the local panel and the session log. "mcpgawk Platform" means the paid subscription tier that unlocks the enforce and monitor capabilities, and the build capability once it is released. "Licence Key" means the key we issue on subscription that activates the paid Software, subject to a per-seat activation limit. "Seat" means one activated instance of a Licence Key on one machine. "Merchant of Record" or "MoR" means Lemon Squeezy, which sells the subscription to you as reseller and handles payment, tax and refunds.

3. Licence grant

Subject to your compliance with these Terms and, for mcpgawk Platform, an active paid subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the Software for your internal business or personal purposes.

The mcpgawk Platform subscription is licensed per person. Each subscribed person receives one Licence Key, which may be activated on up to three (3) machines that person uses. Each activation is a Seat; a Licence Key is not to be shared between people. The Free Scanner is licensed separately under Apache-2.0 and is not subject to these subscription terms.

4. Licence restrictions

Except as expressly permitted by these Terms or by applicable law that cannot be excluded, you must not, and must not allow any third party to:

  • copy, redistribute, sell, rent, lease, sublicense or otherwise make the paid Software available to any third party;
  • share, publish, resell or circumvent a Licence Key, or use a Licence Key beyond your Seat allowance;
  • reverse-engineer, decompile or disassemble the paid Software, except to the limited extent this restriction is prohibited by applicable law;
  • remove, obscure or alter any proprietary notices, or misrepresent the origin of the Software;
  • use the Software to build a competing product, or in any way that breaches the Acceptable Use policy (section 9).

5. The free scanner

The Free Scanner is and remains free and open-source under the Apache-2.0 licence, regardless of whether you hold a mcpgawk Platform subscription. Your use of the Free Scanner is governed by that licence. It runs locally and does not transmit the inventory of the servers you scan to us or to any third party (see our Privacy policy).

6. Subscription, trial and billing

mcpgawk Platform is offered as a monthly subscription at £29 per person per month, including a 7-day free trial. If you do not cancel before the trial ends, the subscription begins and the first payment is taken. Subscriptions renew automatically each month until cancelled. You can cancel at any time through your Lemon Squeezy customer portal or by contacting us; cancellation stops the next renewal and your access continues until the end of the paid period. Refunds are governed by our Refund policy.

We may change subscription pricing on renewal; any change will be shown before it applies and will not affect the period you have already paid for.

7. Payments and Merchant of Record

The subscription is sold to you by Lemon Squeezy as our Merchant of Record. Lemon Squeezy processes your payment, acts as the seller of record for the transaction, and calculates, collects and remits any applicable VAT or sales tax at checkout. Your purchase is also subject to Lemon Squeezy's buyer terms. We do not store your card details. Any refund is processed by Lemon Squeezy in accordance with our Refund policy.

8. Intellectual property

We and our licensors own all intellectual property rights in the Software and the Service (other than the Free Scanner's open-source components, which remain under their respective licences). These Terms grant you a licence to use the Software; they do not transfer any ownership to you. Feedback you send us about the Service may be used by us without restriction or obligation to you.

9. Acceptable use

mcpgawk is a defensive security tool. You may use it only against MCP servers and systems that you own or are explicitly authorised to test. Your use of the Service is subject to our Acceptable Use policy, which forms part of these Terms. Breaching it is a breach of these Terms.

10. No warranty

The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. mcpgawk assists you in measuring, verifying and monitoring MCP servers; it does not guarantee that any server is safe, secure, complete or free of vulnerabilities, and a clean result means only that no issue was observed within the scope and method described, not that none exists. You are responsible for your own security decisions. Nothing in this section limits your statutory rights as a consumer where those cannot be excluded.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to the Service, however caused. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us (through the Merchant of Record) for the subscription in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.

12. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your misuse of the Software, your breach of these Terms or the Acceptable Use policy, or your use of the Software against systems you were not authorised to test.

13. Termination and suspension

You may stop using the Software and cancel your subscription at any time. We may suspend or terminate your access, and disable your Licence Key, if you materially breach these Terms or the Acceptable Use policy, or where required by law. On termination, the licence granted in section 3 ends and you must stop using the paid Software; your rights to the Free Scanner under Apache-2.0 are unaffected. Sections that by their nature should survive (including 8, 10, 11, 12 and 15) survive termination.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after a change takes effect means you accept the updated Terms.

15. General

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have in your country of residence. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of our business. These Terms, together with the Acceptable Use, Refund and Privacy policies and Lemon Squeezy's buyer terms, are the entire agreement between us regarding the Service.
